Terms and Conditions: Fixed-Price Project

One-Off Service

These Terms and Conditions (the “Agreement”) govern the relationship between Websalve (the “Provider”) and the Client (the “Client”) for the delivery of a specific, one-off digital project.

 

1. Scope & Fixed-Price Billing

  • 1.1 Project Quote: Work is performed based on a fixed-price quote provided by Websalve. This quote is inclusive of a contingency buffer to account for project risks and unforeseen complexities.
  • 1.2 Payment Upfront: 100% of the project total must be paid in advance. Work will not commence until the funds have been received in full.
  • 1.3 Administrative Fee: A mandatory 5% administrative fee is applied to the gross total of the quote.
  • 1.4 Taxes: All quoted prices are exclusive of taxes. All relevant taxes applicable to the Client’s jurisdiction (VAT, IVA, Sales Tax, etc.) will be added to the final invoice.
  • 1.5 Subcontracted Services & Products: Any third-party costs (printing, licenses, specialized hardware) not explicitly included in the initial quote will be billed separately at cost .

 

2. Service Limitations (No Subscription)

  • 2.1 No Account Access: This model does not include a Websalve Client Profile. The Client will not have access to Live Timesheets, historical invoice archives, or our internal project management tools.
  • 2.2 Support Channels: Support for this project is strictly limited to Email and Telephone . This model does not include access to a dedicated WhatsApp group.
  • 2.3 Maintenance: This is a “build-and-delivery” service. Once the project is completed and handed over, Websalve has no obligation to provide ongoing maintenance, security updates, or technical support unless a new project is quoted or a subscription is started.

 

3. Intellectual Property & Licensing

  • 3.1 Delivery of Rights: Upon completion of the project and verification of full payment, Websalve grants the Client a perpetual, non-exclusive license to use the work for its intended business purpose.
  • 3.2 Ownership & Revocation: All assets remain the property of Websalve until the project is delivered. In the event of a payment reversal or dispute, the license is revoked and the work must be removed from the Client’s digital infrastructure immediately.
  • 3.3 Promotional Rights: Websalve reserves the right to use the completed work, as well as the Client’s company name and logo, in our professional portfolio and marketing materials.

 

4. Confidentiality & Non-Disclosure (NDA)

  • 4.1 Mutual Protection: Both parties agree to protect and maintain the strict confidentiality of all trade secrets, business plans, and financial data disclosed during the project.

 

5. Security & Data Liability

  • 5.1 Account Credentials: For projects requiring the creation of digital accounts, Websalve will follow industry-standard security practices (complex passwords and 2FA where available) during the build.
  • 5.2 Liability Waiver: Websalve assumes zero liability for data breaches, leaks, or hacks that occur during or after the project. By requesting digital services, the Client accepts all inherent risks associated with digital infrastructure and credential management.

 

6. Scope Creep & Amendments

  • 6.1 Fixed Scope: The project is limited strictly to the deliverables outlined in the initial quote. Any requests for additional features, revisions outside of the agreed-upon count, or changes in direction will require a separate quote and additional upfront payment.
  • 6.2 Termination: As payment is made 100% upfront, the Client may cancel the project at any time; however, no refunds will be issued for work already in progress or completed.

 

7. Third-Party Failure

Clause: Post-Delivery Platform Failures Websalve is not responsible for the stability or future updates of third-party software (e.g., WordPress core, plugins, or themes). Our fixed-price quote covers the initial build and delivery only. If a plugin or theme fails due to an external update or conflict after the project is handed over, any repair work is considered out-of-scope. Websalve will notify the Client of the failure and provide a new fixed-price quote for the repair work, which must be paid in advance before work commences.

 

8. Infrastructure Suspension

Clause: Suspension of Essential Infrastructure For projects where Websalve manages ongoing hosting, email, or third-party licenses, continued service is strictly contingent upon the timely renewal of those fees. If the Client fails to pay the renewal invoice for these essential services by the due date, Websalve reserves the right to immediately disable the website, email, and associated licenses. Websalve assumes no liability for business interruption or data loss resulting from service suspension due to non-payment of these overhead costs.

With a Standard Account

These Terms and Conditions (the “Agreement”) govern the relationship between Websalve (the “Provider”) and the Client (the “Client”) for projects quoted at a fixed rate with the establishment of a Standard Client Account.

 

1. Scope & Discounted Billing

  • 1.1 Standard Account Discount: By establishing a Client Profile and opting for the Standard Account model, the Client receives a 10% discount on standard project rates.
  • 1.2 Payment Upfront: 100% of the discounted project quote must be paid in advance. Work will not commence until the funds have been received in full.
  • 1.3 Administrative Fee: A mandatory 5% administrative fee is applied to the gross total of the quote.
  • 1.4 Taxes: All quoted prices are exclusive of taxes. Relevant jurisdictional taxes (VAT, IVA, Sales Tax) will be added to the final invoice.
  • 1.5 Subcontracted Services & Products: Third-party costs (printing, licenses, specialized hardware) are billed at cost and are not subject to the 20% discount.

 

2. Standard Features & Access

  • 2.1 Client Profile Hub: The Client is granted access to a dedicated Client Profile on the Websalve website, providing lifetime access to historical invoices and project documentation.
  • 2.2 Dedicated Support: This model includes access to a dedicated WhatsApp group for real-time communication with the Websalve team, in addition to standard Email and Telephone support.
  • 2.3 Transition to Pro: Upon completion of the initial project, the Client has the option to transition to the Websalve Pro Subscription for ongoing maintenance and minute-by-minute growth tasks.

 

3. Intellectual Property & Licensing

  • 3.1 Conditional License: All assets remain the property of Websalve until the project is delivered.
  • 3.2 Transfer of Rights: Upon delivery and verification of full payment, the Client receives a perpetual, non-exclusive license for business use.
  • 3.3 Promotional Rights: Websalve reserves the right to use all created work, the Client’s name, and the Client’s logo in our marketing and portfolio materials.

 

4. Confidentiality & Non-Disclosure (NDA)

  • 4.1 Protection of Trade Secrets: Both parties agree to protect and maintain the strict confidentiality of trade secrets, business plans, and financial data disclosed during the partnership.

 

5. Security & Data Liability

  • 5.1 Standard of Care: Websalve follows industry-standard security practices (complex passwords and 2FA where available).
  • 5.2 Limitation of Liability: Websalve assumes zero liability for data breaches, leaks, or hacks . The Client accepts all inherent risks of digital collaboration and credential sharing.

 

6. Scope & Revisions

  • 6.1 Project Scope: The fixed price covers strictly the deliverables outlined in the quote.
  • 6.2 Scope Amendments: Any requests outside the original scope will require a new discounted quote and upfront payment.
  • 6.3 Refunds: As this model requires resource allocation and advance planning, no refunds will be issued once work has commenced.

 

7. Amendments to Terms

  • 7.1 Future Updates: Websalve reserves the right to update these Terms. Continued use of the Client Profile or payment of subsequent project invoices constitutes acceptance of the revised Terms.

 

8. Third-Party Failure
